Terms of Service

The terms and conditions governing your use of TaxDesk services.

1. Acceptance of Terms

By accessing or using TaxDesk services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Description of Service

TaxDesk provides Canadian tax compliance software powered by TaxDesk Intelligence, including:

  • Entity, obligation, and deadline tracking for T2, GST/HST, payroll, T3, and related filings
  • Tax document management and organization
  • Tax pool tracking (CDA, RDTOH, GRIP) and ownership visualization
  • Compliance monitoring and review workflows

TaxDesk does not prepare, file, or submit tax returns on your behalf and does not have a direct system integration with the Canada Revenue Agency. You and your tax professional remain responsible for preparing and filing all returns.

3. User Responsibilities

As a TaxDesk user, you agree to:

  • Provide accurate and complete financial information
  • Maintain the confidentiality of your account credentials
  • Use the service only for lawful tax compliance purposes
  • Review all tax filings for accuracy before you or your tax professional file them with the CRA
  • Notify us immediately of any unauthorized account access

4. Professional Responsibility

TaxDesk provides software tools to assist with tax compliance. However, you remain responsible for the accuracy of your tax filings and compliance with all applicable Canadian tax laws. We recommend consulting with qualified tax professionals for complex situations.

5. Payment Terms

Subscription fees are billed according to your selected plan:

  • Subscriptions are billed monthly in advance, per workspace
  • All fees are in Canadian dollars and exclude applicable taxes
  • You may cancel at any time; access continues until the end of the current billing period
  • Except where required by law, fees already paid are non-refundable

6. Data Ownership and Security

Your data belongs to you. TaxDesk provides:

  • Encryption in transit and at rest with industry-standard security measures
  • Regular backups of workspace data
  • Data export capabilities upon request

We use third-party service providers (including hosting, database, authentication, payment, email, analytics, and AI processing providers) that may store or process data outside Canada, including in the United States. See our Privacy Policy for details.

7. Your Content

You retain all ownership rights to the information and documents you upload to TaxDesk. You grant us a limited, non-exclusive license to host, store, and process that content solely to provide and improve the service, including processing by the third-party service providers described in our Privacy Policy. You are responsible for ensuring you have the right to upload the content you provide, including any client information.

8. AI Features

TaxDesk includes AI-assisted features such as document classification, data extraction, and question-answering. AI-generated output may be incomplete or inaccurate and is provided to assist your review, not replace it. You must review AI-generated suggestions before accepting them into your records, and you remain responsible for any decisions or filings based on them.

9. Service Availability

While we strive for high availability, TaxDesk services may occasionally be unavailable due to maintenance, updates, or unforeseen circumstances. We will provide advance notice of scheduled maintenance when possible.

10. Disclaimer of Warranties

The service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that any information produced by the service is accurate or complete.

11. Limitation of Liability

TaxDesk's liability is limited to the amount paid for services in the 12 months preceding any claim. We are not liable for indirect, incidental, or consequential damages, including but not limited to CRA penalties or interest charges.

12. Termination

Either party may terminate this agreement:

  • You may cancel your subscription at any time
  • We may terminate accounts for violation of these terms
  • Upon termination, you retain access until the end of your billing period
  • Data export is available on request for a reasonable period after termination

13. Changes to These Terms

We may update these terms from time to time. If we make material changes, we will notify you by email or through the service before the changes take effect. Your continued use of TaxDesk after the effective date constitutes acceptance of the updated terms; if you do not agree, you may cancel your subscription.

14. Governing Law

These terms are governed by the laws of Ontario, Canada. Any disputes will be resolved in the courts of Ontario, with jurisdiction in Toronto.
